NOTEXEC is a note-taking and productivity application that lets you capture, organize, and act on your thoughts through voice dictation, AI-powered summaries, Google Calendar sync, and full offline support. Welcome to NOTEXEC ("we," "our," or "us"). By accessing or using our website at notexec.com and our services (collectively, the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you must have a parent or legal guardian's consent. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

To access certain features, you must create an account. You agree to:

Notify us immediately of any unauthorized use of your account

4. User Content

You own or have the necessary rights to your User Content
Your User Content does not infringe any third party's intellectual property rights
Your User Content complies with all applicable laws and regulations

Infringe upon the rights of others
Upload malicious code, viruses, or harmful content
Interfere with or disrupt the Service or its infrastructure
Attempt to gain unauthorized access to other users' accounts or data

6. Intellectual Property

The Service, including its design, features, functionality, code, logos, and trademarks, is the exclusive property of NOTEXEC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our express written permission.

7. Third-Party Services

The Service may integrate with third-party services such as Google Calendar and OpenAI. Your use of such third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices, content, or availability of third-party services.

8. Subscription & Payment

Certain features of the Service are available only through paid subscription plans. By subscribing to a paid plan, you agree to pay all applicable fees. Fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' notice.

9. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us or using the account deletion feature.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTEXEC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

12. Indemnification

You agree to indemnify and hold harmless NOTEXEC and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from your use of the Service or your violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Delaware.

14. Data Retention & Export

We provide tools to export your data at any time. Upon account termination, we will delete your User Content within 30 days, except as required for legal compliance or backup retention. See our Privacy Policy for details.

16. Changes to These Terms
